This case book is designed for a first course in corporate law. Besides the usual cases and other excerpted materials, the book contains extensive introductions and explanations. The content is also available online at https://opencasebook.org/casebooks/261-corporations/. The book is current as of August 2023; it already includes Coster v. UIP II decided in June 2023.
The book’s strengths include:
: The book is a real “book.” If one stripped out the materials (cases etc.), one could still read the book as an introduction to corporate law. For teachers, this means they don’t have to provide all that on slides etc. unless they want to. For students, it means they get guidance on how to read the cases, which are complex in this area.
: The book is theoretically sophisticated, but we don’t lead with a theoretical introduction and, hopefully, don’t digress into abstract theoretical reflections anywhere. We keep things concrete, even though we introduce the major concepts and theories along the way.
: We only use cases that actually matter (mostly from the Delaware Supreme Court): cases that have considerable precedential value and stood or will stand the test of time. These cases have great facts and provide plenty of opportunity for discussion.
: We mention partnership for contrast, and we have have a primer on agency. We also mention LLCs etc. further down. But we don’t pretend one could actually teach all that in a single semester. Our philosophy is that all the issues can be understood using the corporate form. Once students know that, they will find it easy to explore the other forms as necessary.
